Thanks, Zenith. I think you might be right. It could be a blessing in disguise! Only two directors from my reading need to be present at meetings. I just can't get why domeone would want to be a director with all the obligations of it, if one wasn't going to get involved as directors can come a cropper for non compliance.

Apologies to reach out for direction again. I asked 4 different gardening contractors for what they would recommend as a schedule for weeding and grass cutting. They recommended twice monthly for weeding and grass cutting between March and October and monthly thereafter - weeding only done 3 times a year currently. I was asking these other contractors to give a general idea of cost so I could discuss with the Board in Jan. It hot back to agent and he is mad abd one of the other directors is threatening an EGM to have me removed from the board- the absent Director and cosec. Can they do this?

Tough, the agent is there to work on behalf of the Board. As I said above it is better to have a good relationship with the agent, if possible.

It will say in the Memos and Arts who can call and EGM and the requirements, usually the Board itself can call one or a group of the members can do it. I’d have thought they’d need to hold a Board Meeting and the four of you vote on whether to call an EGM (and you would require that the agenda be for all Directors resign and members make new nominations and vote, the same as an AGM), one Director on their own is unlikely to be able to do it. So seems like an idle threat or somebody who doesn’t really understand how this works. There would be as much of a risk for them at an EGM, you would go around to members beforehand and talk to them about the shenanigans then ask them to show up and vote for you and your friend. It would be worth checking if the Memos and Arts say anything on the maximum number of Directors.

Thanks, Zenith. I'll check the Memo and Arts tomorrow. Honestly, at this stage if there was an EGM to depose me, it might not be a bad thing as I could contact the other members with my concerns and maybe they could step up as directors.

I replied anyway to the directors saying if one of them wished to depuse me via an EGM, I could not do anything about that but would speak to members re my concerns so they could an informed decision. This is the Director who never turns up at meetings, AGM etc. Alarmingly, when the managing agent learnt I had asked other grounds maintenance services for quotes on relation to the normal schedule of weeding and grass cutting, the managing agent said the gardening budget was suddenly 5k over due to having to clear the drains, yet there was no mention of this extra 5k expense at the AGM 3 weeks ago and drain clearance is usually a once yearly expense here. My mind is bigger with it all! Thanks again for all your guidance on this.

Thanks, Zenith. I have seen the Housing Agency's leaflet on Director's duties. I actually started a training course yesterday on the duties of directors of OMC with the OMC Governance Institute. There was a barrister giving the Webinar. It was extremely helpful. I learnt that the Board should meet quarterly at leadt, that there should be minutes of each Director's Meeting. My understanding to date is that the Director's do not meet currently at any other time except at the AGM and also have no minutes of any Director's Meetings. I have emailed them again re dates that are suitable for them to meet up in Jan but am not receiving any replies.

I also learnt that if a director does not attend meetings for 6 months they are deemed to have and I learn that members have to reappoint the accountant each year for transparency.
