Hi there,

I’d love to know people’s thoughts on this. We have had the same managing agent for nearly two decades and they are unbelievably bad. I’ve raised it before and looked to change but that’s the past.

When communications are sent out to memebers like memebership fees to be paid. Are you having these sent out on the managing agents headed paper. I have requested numerous times that they stop as most members seem to just equate the managing agent as the management company. And I’d love to hear what others are doing.

Our letters are sent on the management agent's headed paper, obviously sent on behalf of the management company.
I don't see the big deal with that.
If you're unhappy with the agent then get actively involved in your management company, by getting elected to the board of directors if necessary, and effect changes.

Long story short I joined as a director and have been struggling to make change. So much so that the two long term directors just went ahead and contracted again with he same terrible managing agent who is nothing but shocking and unprofessional.

I dont care per se that they use their own headed paper, but they make no reference that its to the management company or anything in those regards. I had asked that they include other information in with the invoice and they dont listen.

You need to look at the management company memorandum and articles of association to understand how such decisions are made and if this was in adherence with them.

I don't know if such issues are covered by the relevant legislation?

As far as I recall all communications from our management agent mention the management company name.

Look at the terms of your contract with the managing agent. There may be clause that allows you to terminate the contract early. Speak to the other Directors. Explain that your role as a Director would be much easier if you were working with a good agent. You are in a position to make changes you just need a majority board decision to move forward.

Can a single director unilaterally carry out such a solo run? I would have thought that the board have to act in unison on such matters when officially acting on behalf of the management company? Unanimously or at least as a majority? Again, the management company memorandum and articles of association and the MUD legislation should probably clarify.

It didn't stop a single director signing a contract with the managing agent again without any discussion at a board level! As I said, there is lots of problems

That's why I've suggested that you need to familiarise yourself with your management company's memorandum and articles of association and the MUD legislation to figure out if such directors have acted inappropriately or even illegally and how you can proceed appropriately and legally if/when you are acting as a director again.
