Got this from Davys just now. Any idea of the implications for private shareholders?

Re: CRH PLC –Delisting from London Stock Exchange

We would like to inform you as a holder of CRH PLC shares that the Company has decided to delist from the London Stock Exchange (LSE). CRH’s primary listing on the New York Stock Exchange (“NYSE”) will be unaffected. The final day of trading on the LSE will be the 17th of April.

In advance of the delisting, Davy will transfer your shares from Crest to Depository Trust Company (DTC) after the close of trading on 15th April, which will enable us to transact your shares on the New York Stock Exchange in future.

Please note that moving your holding to the DTC line will incur additional overseas and custody charges when selling or adding to your holding, as per our Terms & Conditions for trading US instruments and may also have tax implications/restrictions in relation to dividends received.

In line with our T&C’s, Davy does not usually contact clients in relation to delistings, but an exception was made in this case. Should you require any further information, please contact the Dealing Desk on 01 614900, who will be happy to address any queries you may have.

This may be a little late but there is a FAQ for shareholders on the CRH website - I cannot link in my reply but search "CRH plcFAQs for shareholders holding Ordinary Shares inconnection with the LSE DelistingMarch 13, 2026".

My main takeaway is that dividends will be paid in USD from July onwards. Following the delisting from LSE I assume that Irish DWT (25%) will no longer be deducted at source by your broker. Instead, US witholding tax (15%) will be deducted - this will require a valid W8-BEN to have been completed, otherwise a higher rate of witholding tax (30% I think) is applied to dividends. This implies a minor update on which field to populate on Form 11 / Form 12.

One other thing you may wish to consider if any potential impacts from Section 899 of the 'Big Beautiful Bill' whereby the US govt reserves the right to impose retaliatory taxes on things like dividends if they perceive 'unfair tax regimes' i.e. countries which impose taxes / regulations on US companies. This might be low risk in terms of coming to pass but it could be something to consider if you hold stocks listed on US indices markets.

Thanks for posting the link. I was not allowed to add it to my post - presumably I don't have enough participation on the forum.

Edited my post to correct markets for indices. Thanks.

I got this response from DeGiro as I’d noticed a movement in my account last week with a modest CRH shareholding:

Thank you for your message.

We can confirm that CRH shares were delisted from the London Stock Exchange following an issuer‑driven corporate action. As part of this process, your holding was automatically converted and transferred to the NYSE‑listed line, where CRH continues to trade. This conversion was processed on an automatic basis, and your shares were not sold as a result of the delisting. No action was required from your side, and no fees were charged for this transfer. You continue to hold the same number of shares, now under the NYSE listing, and they remain fully accessible in your portfolio.

If you have any further questions, please let us know.
