Understand that auditors are prohibited from acting as liquidator of the same company but in terms of audit exempt companies is there anything to prevent the Accountants from acting as the liquidator.

S146 CA 1990 states that an "officer or a servant of the company" cannot act as liquidator. Can't find a definition on what constitutes a servant of the company?

I have an understanding that you can't have had any previous professional involvement with the company, however that might be more of an ethical rather than a legal consideration.

The liquidator is meant to be a representative of the creditors as a whole, therefore, someone who had been fully paid for previous work, might not appear to be independent.
