Titles and roles within a LTD company

Hi all.


As a director of a newly formed LTD company of a youth club (there are 8 directors and we had to form as a company for legal purposes) we had our first board of directors company meeting tonight.

One item on the agenda we got stumped on was the following:

LEGALLY what is the role within the company and legal inplications of
1 Chairperson
2 Financial Director
3 Secretary

Also, do these roles legally HAVE to be occupied by directors of the company or can 'outsiders' occupy the roles such as Financial Director and secretary?????
 
The Chairman of the board doesn't have any particular legal responsibilities in addition to being a director.

The Financial Director has the same responsibilities as any other director. It's odd that this position would be specified anywhere in the Memo and Articles.

The company secretary does not have to be a director. It is sometimes done by a limited company.
