Company Taken Over / Contract of Employment

My company has recently been taken over. I had a contract of employment with my initial company which stated I would be paid by the company (less maternity benefit) while on Maternity Leave. The new company have not yet issused us with new contracts but have said they will be doing so soon. My question is can they disregard my old contract and take that out of a new contract with them?

Are theY taking over in a "transfer of undertakings".If so then your terms of employment can not be radically changed for a substantial amount of time.Were there no negotiations with staff prior to take over? There should have been and staff even if there are no unions are entitled under law to representation.
