    Spin-Off / Child Company Formation

Because I do not want to involve (or even 'alert') that third party (BrandName Ltd) if at all possible.

    Spin-Off / Child Company Formation

This is the primary reason my question/approach is so convoluted. * The 'parent' company above is actually called "BrandName Differentiator LTD" (By Differentiator I mean enough text to differentiate the company's name from another company that already exists). * That company, "BrandName LTD"...

    Spin-Off / Child Company Formation

Thanks for that Ronan it's helped me think it through - as I said it's a convoluted situation (with convoluted reasoning!). Instead - assuming the parent company is split 50/50 between two directors, and one of those directors (but not the other) will now take a 50% shareholding in the new...

    Spin-Off / Child Company Formation

Thanks for the input. The shareholders of the subsidiary will be people who are not shareholders of the parent company - they are and have been entirely seperate from that business. The directors of the parent company would be shadow/non-exec directors with no shareholding in the subsidiary.

    Spin-Off / Child Company Formation

A convoluted situation here.. but perhaps it will make sense to someone ;-) * Existing company is called "BrandName LTD" * We would like to start a spin-off/child company (not sure of the terminology here..) called e.g. "BrandName Services LTD" where (a) the company/brand-name is still used but...

    VAT No. & Employers/Tax No.

Thanks - thats pretty much my feeling on it - it just occoured to me when I was looking at invoice that didn't really make sense.

    VAT No. & Employers/Tax No.

I'm 99% sure the answer to this is No, but just thought I'd ask. Is there ever a situation where an Irish company (a recent one - not 10+ years old) 's VAT number differs from their Employers/Tax No.?? i.e. 1234567X Thanks.

Reduced Commercial Rent - Lease Unchanged - Implications?

Hi, A friend [ I know how that sounds ;-) ] will be seeking legal advice about this shortly, but I'm posting this here in case anyone has an opinion they'd like to share? He took out a multi-year lease (retail) about 6 months before the economy turned, so the rent agreed was phenomenally...

Irish Ltd Company - U.S. based eCommerce?

I would really appreciate it if anyone has an opinion on whether this would simply be a legal/tax nightmare for an Irish Ltd company. * Moderately successful Irish eCommerce company * Gap spotted in the U.S. Online Market - backed up by own research data I do not want to go down the route of...

Registering for VAT: Imported stock where VAT already paid?

No, it was a proof of concept that X product could sell at Y price in sufficient quantities even during tough economic times. The concept is now proven so the business can be (relatively) safely taken to the next level.

Registering for VAT: Imported stock where VAT already paid?

Lads, you're getting caught up in semantics here, and not looking at the bottom line. I buy something from Holland while not VAT registed. For simplicity, wholesale price €50, RRP €100. I pay Dutch company €50 + 19% VAT = 59.5. VAT not reclaimable. I sell this in Ireland, while still not VAT...

Difficult employee: contract "hours as rostered" refusing to work Sunday/BHolidays.

Re: Difficult employee *If* the employee in question didn't have such an obvious.. whats the PC word here.. if she wasnt 'challenged' in the hearing department I would absolutely take the approach outlined above. It seems fair. But I imagine that there's a little voice in your head wondering...

Registering for VAT: Imported stock where VAT already paid?

Bought the goods from a european country, paid VAT to said country. That's Once. Register for VAT. Sell the same goods mentioned above. I now owe the government 21% VAT. That's twice. I am unclear if I can reclaim the original purchase VAT as this company would not have been VAT registered...

Registering for VAT: Imported stock where VAT already paid?

Hi, I have a business which is not VAT registered as it has been well below the VAT threshold of ~€70k sales or ~€40k imports. However, most likely we will start exceeding the VAT thresholds in the coming months so we will have to register for VAT. My question is this: If I have about €10k in...

    Online Payments: Merchant Liability

Mathepac I would like to know from what vendor experience you are talking from - my guess is zilch, and that you are extrapolating your own skill/knowledge levels to the average web user. Yes you (and I as a matter of fact) may be comfortable with this added level of security and enable it -...

    Online Payments: Merchant Liability

Putting myself in the customer's shoes for a moment. If I bought something online and then I recieved an email requesting a scanned document or PPSN - I think my gut reaction would be: Has my transaction been comprimised and someone is trying to pull identify theft on me? I'd go buy somewhere...

    Online Payments: Merchant Liability

I've really had my eyes opened today as to how vulnerable online merchants are to credit card chargebacks/fraud. Essentially, from what I can tell, everyone in the payment chain abdicates responsibility and the Merchant gets stuck with the bill. Here is our (pretty standard AFAIK) setup...

    Auditor recommendation (dormant company)?

This is interesting - similar to to the OP I have a dormant company that has long missed it's ARD - completely and utterly my fault. Is this true that I would be in a position to just liquidate - i.e. without the sizable expense of filing last accounts inlc. audit fees, late filing fees etc...

Competitor pretending to be a LTD company

Thanks but I'm well versed with the ins & outs of the CRO website - it was how I determined that this operation was not a LTD company, but a sole trader with a registered business name. What's annoying me here is disclosure - if a customer is choosing b/t two identically priced products from...

Competitor pretending to be a LTD company

We're a LTD company, public business premises plus decent eCommerce presence. I've just realised that an online-only competitor of ours has been referring to themselves on their .IE domain as a company - and they're not - they're a sole trader. "Welcome to XYZ LTD", "We are a company that.." -...
