Dormant company exemption - what are permitted liabilities?

Hi and sorry if this was already asked before but I couldn't find any information.

I'm looking to claim audit exemption on the basis of a dormant company. Could someone clarify what are "permitted liabilities"? The company only owes to it's shareholder/director and has no other liabilities however I have doubts whether this can be classed as permitted liability?
